1. INTRODUCTION

Welcome to Raising Reputations, LLC ("Raising Reputations," “we,” “us,” or “our”).

These Terms and Conditions (“Terms”) govern your use of:

The Raising Reputations SaaS platform ("Software" or “Platform”), including all review management, AI features, local ranking tools, integrations, and dashboards.
The Raising Reputations Skool community ("Community").
Any done-for-you (“DFY”) services, including but not limited to review management, customer experience (“CX”) services, and Google Business Profile (“GBP”) management.

By accessing any of these services (“Services”), you agree to these Terms.

These Terms & Conditions should be read together with our Privacy Policy, Cookie Policy, and Data Processing Agreement.

If you do not agree, please discontinue use immediately.

2. ABOUT US

Raising Reputations, LLC is a U.S.-based company located at 407 West Smith Valley Road, Suite #382, Greenwood, Indiana 46142.

All legal disputes must be brought and adjudicated exclusively in Johnson County, Indiana.

3. ACCEPTANCE OF TERMS

By creating an account, enrolling in the Community, or using any Software or DFY Services, you confirm that:

You are at least 18 years old.
You have read, understood, and agreed to these Terms.
You are legally able to enter into binding agreements.
You will ensure all individuals accessing your account comply with these Terms.

If you do not agree, you must discontinue using the Services.

Account Responsibility

You are fully responsible for maintaining the confidentiality and security of your account, login credentials, and access permissions.

All actions taken through your account, whether by you or by someone you authorized or allowed to use it, are deemed to be your actions.

You agree to ensure that only authorized individuals access your account and that they comply with these Terms.

No Liability for Unauthorized or Improper Account Use

Raising Reputations is not responsible for any loss, damage, liability, or expense resulting from the wrongful, fraudulent, negligent, or illegal use of your account by you, your staff, or any third party who gains access through your credentials.

4. SCOPE OF SERVICES

SaaS Platform

You receive a revocable, non-exclusive, non-transferable license to access and use Raising Reputations software for your business.

Skool Community

Your participation in the community includes access to training, posts, comments, messaging features, events, and related resources. Community behavior must follow our Social and Acceptable Use Policies.

Done-For-You Services

If you subscribe to DFY services, they may include:

Review response writing
Review acquisition campaigns
GBP management and optimization
Monitoring and reporting
AI-assisted customer experience workflows

Any DFY service details not listed here will be clearly disclosed at the point of purchase.

Additional Risk & Performance Disclaimers

Raising Reputations is not responsible for:

Actions, penalties, suspensions, or decisions made by third-party platforms, including Google, Facebook, Yelp, Angi, TripAdvisor, or any other integrated service.
Lost access to third-party accounts due to user behavior, policy violations, platform errors, algorithm changes, or internal decisions made by those platforms.
Performance fluctuations in rankings, visibility, or review generation caused by factors outside our control, including but not limited to competitor activity, platform updates, or market changes.

You acknowledge that all review outcomes, search rankings, SEO performance, and platform visibility are influenced by external variables that no software or service can control fully.

AI Features & Beta Tools Disclaimer

Certain features of the Platform may use artificial intelligence (“AI”), machine learning, or experimental (“beta”) tools.

These features are provided solely for convenience and may produce inaccurate, incomplete, or unexpected results.

You are responsible for reviewing all AI-generated content for accuracy, appropriateness, and compliance before using it publicly or within your business.

Raising Reputations is not liable for errors, inaccuracies, or outcomes resulting from your use of AI-generated content or beta features.

Community Interaction & Peer Support

The Raising Reputations Skool Community provides peer interaction, shared experiences, general guidance, and optional training resources.

You understand and agree that:

Peer advice is not vetted, professional, or guaranteed to be accurate.
You are responsible for evaluating and applying any suggestions.
We are not liable for misunderstandings, disagreements, or outcomes resulting from user-to-user interactions.
Community moderators may remove posts or users at their discretion to maintain safety and integrity.

Participation is voluntary and at your own risk.

No Professional Advice

Nothing in the Software, Community, DFY services, or training materials should be interpreted as legal, financial, marketing, business, or professional advice.

You are solely responsible for all decisions made based on your use of the Services. Raising Reputations is not responsible for any actions you take or fail to take based on any information, guidance, or recommendations provided.

You should consult with qualified professionals before making decisions relating to marketing, compliance, legal obligations, or business strategy.

Platform Ownership

All rights in and to the Platform remain exclusively with Raising Reputations.

You are granted a limited, revocable license to access the Platform under these Terms, but you do not acquire any ownership, equity, or proprietary rights in the Software, Services, or intellectual property at any time.

5. FREE TRIALS & FREE ACCESS

We may provide limited-time free access or trials at our discretion. These Terms apply equally during any free access periods.

We may modify or cancel free access at any time.

6. SERVICE FEES & PAYMENT TERMS

Fees for SaaS subscriptions, Community access, and DFY services will be displayed at checkout.
All payments must be made on time. Failure to pay may result in suspension or termination.
Fees may change with advance notice.
Taxes may apply and are your responsibility.
Subscription renews automatically unless canceled.
All payments must be made via approved payment processors. We are not responsible for third-party payment errors.

7. USER CONTENT & DATA

You are solely responsible for the content, data, and information you upload, submit, or connect through our Services.

You agree that:

Your content complies with all laws, including GDPR and U.S. privacy laws, ethical guidelines, and platform policies.
You own or have legal permission to use and upload the content.
You will not upload sensitive personal data unless necessary.
You grant Raising Reputations a license to store, process, and transmit your content solely to provide the Services.
We may use anonymized, aggregated data to improve features, analytics, or AI models.
You will maintain your own backups. We are not responsible for data loss.

We may remove or restrict content that violates laws or these Terms.

You are fully responsible for any content or data you upload or provide.

8. INTERNATIONAL USERS & GDPR COMPLIANCE

Raising Reputations may be accessed by users outside the United States.

If you access the Services from the European Union, United Kingdom, or any region with data protection laws, you acknowledge and agree to the following:

Lawful Basis

We process personal data as needed to (a) provide the Services, (b) perform contractual obligations, (c) comply with legal requirements, and (d) pursue legitimate business interests such as product improvement and security.

Data Transfers

By using the Services, you consent to the transfer of your data to the United States. We use industry-standard safeguards, including Data Processing Agreements, to protect international data transfers.

Your Rights (GDPR/UK GDPR)

If applicable laws grant you rights (access, correction, deletion, data portability, restriction, objection), you may request these by contacting Support@RaisingReputations.com.

Retention & Storage

Data is stored only as long as necessary to provide the Services, comply with legal requirements, resolve disputes, or enforce agreements.

Local Legal Compliance

You are fully responsible for ensuring that your use of the Software, Community, and DFY services complies with the laws of your jurisdiction.

If any international privacy laws conflict with these Terms, we will comply with the minimum legally required standard without waiving any rights under these Terms.

9. ACCEPTABLE USE POLICY

You agree NOT to:

Engage in illegal, fraudulent, deceptive, or harmful activities.
Upload malware, bots, scripts, spam, harmful code, or defamatory material.
Post or solicit fake reviews or incentivized reviews prohibited by platform policies.
Use the Platform or Community to scrape, harvest, or reproduce competitive data.
Train external AI models using our content, data, or proprietary frameworks.
Harass, threaten, or abuse users or staff.
Use the Community for unsolicited pitching, ads, DM‑spam, or multi‑level marketing.
Attempt to breach or circumvent security, reverse engineer the Software, misuse integrations, or disrupt Services.
Use the Services to compete with Raising Reputations.

We may suspend or terminate accounts immediately for violations, without refund.

We enforce a zero-tolerance policy for harassment, abuse, or unethical conduct.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Raising Reputations is not liable for unauthorized access resulting from lost, stolen, shared, or insecure credentials.

10. INTELLECTUAL PROPERTY

All intellectual property related to the Software, Community content created by us, training, branding, templates, and DFY deliverables belong to Raising Reputations unless explicitly stated otherwise.

You receive a license to use these materials for your own business only.

You may not:

Replicate, resell, or redistribute any content.
Publish internal training materials outside your organization.
Claim ownership of Raising Reputations’ frameworks, trademarks, branding, or IP.

Your user-generated content remains yours, and you grant us a license to use it for providing Services.

11. MARKETING USE OF CUSTOMER CONTENT (WITH OPT-OUT OPTION)

By using our Software, Community, or DFY services, you grant Raising Reputations, LLC permission to use the following for marketing, education, or demonstration purposes:

Public reviews about your business
Screenshots you share inside the Community
Wins or results you voluntarily post
Testimonials you provide
General performance trends generated by the Software (anonymized or non-identifiable)

We may use this content in:

Social media posts
Website examples
Training materials
Marketing emails
Case studies
Live or recorded workshops

However, you may opt out at any time.

To opt out, send an email to Support@RaisingReputations.com with the subject line: “Opt-Out of Marketing Use.”

Once received, we will stop using your identifiable content in future materials. This does not require us to remove marketing materials already published prior to your opt-out request.

We will never disclose sensitive data, private account details, or non-public business information without your explicit permission.

12. THIRD-PARTY SERVICES & INTEGRATIONS

You acknowledge that the Services interact with third‑party platforms (e.g., Google, Yelp, Facebook, TripAdvisor, Angi, and others).

Raising Reputations does NOT control these platforms and is not responsible for:

policy changes by these platforms;
account suspension, termination, or penalties issued by them;
review removals, filtering, or moderation decisions;
delays or errors in data sync caused by platform APIs;
lost access due to violations of their terms.

You agree to comply with all third‑party rules, and you acknowledge that your use of these platforms is entirely independent of Raising Reputations.

Third-Party Platform Risk Disclosure

You understand and agree that your business, not Raising Reputations, is responsible for maintaining good standing with each third‑party platform.

You acknowledge that:

Some features integrate with third-party platforms (e.g., Google, Facebook, Yelp, and others).
You are responsible for complying with all third-party policies.
We are not responsible for the accuracy, availability, or reliability of third-party services.

User Responsibility for Compliance

You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, review platform policies, advertising rules, and industry-specific standards.

Raising Reputations does not provide compliance guarantees and is not responsible for violations arising from your use of the Services.

Third-Party Platforms & Integrations Disclaimer

By using our Services, you understand and agree that:

Raising Reputations has no control over the policies, decisions, outages, suspensions, or enforcement actions taken by third-party platforms.
Platforms may restrict, throttle, or terminate access to features at their discretion.
We cannot guarantee the success or approval of verification requests, reinstatements, appeals, or content moderation decisions.
We are not liable for loss of reviews, rankings, or account access resulting from third-party activity.

Your continued use of third-party platforms is entirely at your own risk.

Third-Party Intellectual Property Notice

Any references to third-party platform names, logos, or trademarks (e.g., “Google,” “Facebook,” “Yelp,” and others) are used solely for descriptive or integration purposes.

Raising Reputations claims no ownership, endorsement, partnership, or licensing rights to any third-party intellectual property.
All trademarks belong to their respective owners.
Use of such names does not imply affiliation or sponsorship.

You agree not to misuse or misrepresent any third-party branding when using our Services.

You acknowledge that:

Some features integrate with third-party platforms (e.g., Google, Facebook, Yelp, and others).
You are responsible for complying with all third-party policies.
We are not responsible for the accuracy, availability, or reliability of third-party services.

13. WARRANTY DISCLAIMER

The Services are provided “as is,” “as available,” and without warranties of any kind, express or implied.

To the fullest extent permitted by law, Raising Reputations disclaims all warranties, including:

Implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.
Warranties related to accuracy, reliability, uptime, or performance of the Services.
Warranties regarding review outcomes, rankings, platform visibility, or reputation improvements.

We do not warrant that:

The Services will be uninterrupted, timely, secure, or error-free.
Third‑party platforms will operate consistently or maintain your accounts.
Data, analytics, or notifications are accurate or complete.
Reviews or content will remain published.

All use is at your own risk.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Raising Reputations shall not be liable for:

Loss of profits, revenue, business, customers, or goodwill.
Loss of data or corruption of data.
Reputational harm or lost review opportunities.
Suspensions, removals, penalties, downgrades, or actions taken by third‑party platforms.
Errors or delays caused by third‑party APIs or integrations.
Any indirect, incidental, consequential, special, punitive, or exemplary damages.

Our total liability shall not exceed the fees you paid during the last 3 months for the affected Service.

Nothing limits liability for fraud or willful misconduct.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold Raising Reputations harmless from any claims, damages, losses, or liabilities arising from:

Your use or misuse of the Services.
Your violation of these Terms.
Your violation of any law or third‑party rights.
Content you upload or actions you take on third‑party platforms.
Your interactions within the Community.

16. TERMINATION

We may suspend or terminate access to any Service at our discretion, including for:

Violations of these Terms.
Late or failed payments.
Abuse, harassment, or harmful behavior.
Misuse of software or integrations.
Legal or regulatory requirements.

You may cancel at any time through your billing settings.

No Refunds

No refunds are issued for partial billing cycles.

17. FORCE MAJEURE

We are not responsible for delays or failures caused by events outside our reasonable control, including natural disasters, cyberattacks, labor disputes, utility outages, government restrictions, or platform‑wide outages (e.g., Google, Facebook, Yelp, or others).

18. ARBITRATION & CLASS ACTION WAIVER

To expedite resolution, you agree that:

Any dispute will be resolved through binding arbitration in Johnson County, Indiana.
Class actions are waived; disputes must be handled individually.
Either party may seek injunctive relief in court for IP or security issues.

19. SEVERABILITY

If any portion of these Terms is deemed unenforceable, the remaining portions continue in full effect.

20. SURVIVAL

The following sections survive termination: Intellectual Property, Warranty Disclaimer, Limitation of Liability, Indemnification, Governing Law, Arbitration, and any payment obligations.

21. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the State of Indiana. All disputes must be brought in Johnson County, Indiana, except for arbitration terms above.

22. ENTIRE AGREEMENT

These Terms represent the entire agreement between you and Raising Reputations and supersede all prior agreements.

Updated Terms of Service

We may update these Terms periodically. Continued use signifies acceptance of the revised Terms.
